Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the TyreBook platform, website, and related services (collectively, the "Platform") provided by Regrip ("Regrip", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Legal status of Regrip and role of the Platform

2.1 Intermediary / marketplace role. The Platform is a technology-enabled marketplace and Regrip acts as an intermediary and facilitator. Regrip does not sell, resell, buy, distribute, store, warehouse, transport, certify, or guarantee Products unless explicitly stated in writing for a specific service.

2.2 No agency. Regrip is not an agent, partner, joint venturer, broker, or representative of any User. No relationship of employment, agency, partnership, franchise, or joint venture is created between Regrip and any User.

2.3 User-to-User contracts. Any sale, purchase, or other commercial arrangement is a contract directly between Buyer and Seller. Regrip is not a party to such contracts.

2.4 No responsibility for compliance. Users are solely responsible for complying with applicable laws, including taxation (GST), invoicing, e-way bills, scrap and waste rules, environmental rules, transport rules, and any industry-specific regulations.

3. Eligibility and permitted users

3.1 Business-only Platform. The Platform is intended solely for business users, including transporters, tyre dealers, retreaders, scrap processors, manufacturers, and other entities registered under Indian law.

3.2 No personal/consumer use. Individuals acting for personal, family, or household purposes are not permitted to use the Platform.

3.3 Representations. By using the Platform, you represent and warrant that:

• you are a legally constituted business entity or authorized commercial user;
• you are legally competent and authorized to bind the entity you represent;
• you will provide accurate and complete business details (including GST where applicable);
• you will comply with these Terms and all applicable laws.

4. Account, verification, and security

4.1 Account accuracy. You must provide accurate information and keep it updated. Regrip may request documents for verification.

4.2 Credentials. You are responsible for maintaining the confidentiality of login credentials and for all activity conducted through your account.

4.3 Suspension. Regrip may suspend or terminate accounts to protect the Platform, Users, or compliance obligations.

5. Listings, content, and user responsibilities

5.1 Accuracy of Listings. You are solely responsible for the accuracy, completeness, legality, and non-infringement of all Listings and content you post, including images, specifications, condition, and pricing.

5.2 Prohibited content/behavior. You must not:

• post false, misleading, or deceptive content;
• post infringing, unlawful, or harmful content;
• manipulate prices, bids, or negotiations;
• harass, threaten, or abuse other Users;
• attempt to circumvent Platform fees or processes where a Platform Fee is applicable;
• interfere with the Platform’s security or operations.

5.3 User content license. You grant Regrip a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your content as necessary to operate and improve the Platform and to facilitate transactions.

6. Nature of transactions and service models

6.1 Marketplace model (New Tyres and RTD Tyres). For categories where Regrip functions as a neutral marketplace, Regrip may provide tools to:

• display Listings;
• enable discovery and negotiation;
• facilitate communication between Buyers and Sellers.

Regrip does not inspect, verify, certify, store, or take custody of Products.

6.2 Managed facilitation model (Scrap Tyres and Casings). For certain categories, Regrip may additionally assist with one or more of the following:

• inspection coordination;
• price discovery support;
• logistics coordination;
• payment routing.

Even where Regrip provides facilitation, title and risk in the Products remain between Buyer and Seller, subject to their agreement.

7. “Regrip Assured” inspection disclaimer

7.1 Limited scope. “Regrip Assured” (if offered for a specific Product or category) means only that a visual inspection for general retreading potential was performed at a point in time.

7.2 Not a warranty. “Regrip Assured” is not:

• a performance warranty;
• a safety certification;
• a fitness-for-purpose guarantee;
• a durability, mileage, or life assurance;
• a resale guarantee.

7.3 Buyer due diligence. Buyers must independently verify suitability, quality, legality, and documentation before purchase.

8. Pricing, taxes, and invoices

8.1 Pricing. Prices, discounts, quantities, and delivery terms are determined solely between Buyers and Sellers.

8.2 Taxes. Users are responsible for determining and paying all applicable taxes, duties, and levies, and for issuing compliant invoices and transport documentation.

9. Payments, refunds, and chargebacks

9.1 Not a bank or escrow. Regrip is not a bank, NBFC, payment service provider, or escrow agent. If Regrip routes payments, such routing is for convenience and operational facilitation.

9.2 Refunds. Any refund is subject to the applicable Seller’s approval, applicable inspection or verification (if any), and dispute outcome. Refunds are not guaranteed.

9.3 Chargebacks. If a chargeback or reversal occurs, you authorize Regrip to recover the amount from you, including by offsetting against amounts payable to you or by other lawful means.

10. Logistics and delivery

10.1 No logistics liability. Unless expressly agreed in writing, Regrip is not a logistics provider and does not assume responsibility for transit delays, damage, loss, seizure, or insurance.

10.2 Risk allocation. Risk of loss or damage is governed by the Buyer-Seller contract. Users should agree on delivery terms, insurance, and inspection/acceptance procedures.

11. No warranty (Platform and Products)

11.1 Platform provided as-is. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.

11.2 Disclaimers. To the maximum extent permitted by law, Regrip disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability.

11.3 No product warranties. Regrip does not warrant Product quality, performance, mileage, safety, legality, documentation, or suitability.

12. Limitation of liability

12.1 Exclusion of damages. To the maximum extent permitted by law, Regrip will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, business interruption, or data loss.

12.2 Cap on liability. To the maximum extent permitted by law, Regrip’s total aggregate liability arising out of or related to these Terms, the Platform, or any transaction will not exceed the Platform Fee actually collected by Regrip for the specific transaction giving rise to the claim.

12.3 Third-party disputes. Regrip is not responsible for disputes between Users, including misrepresentation, non-payment, non-delivery, quality disputes, or regulatory non-compliance.

13. Indemnity

You agree to defend, indemnify, and hold harmless Regrip, its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Platform;
• your Listings, content, or communications;
• your transactions (as Buyer or Seller);
• your breach of these Terms;
• your violation of any law or third-party rights.

14. Fraud, misuse, enforcement, and blacklisting

14.1 Enforcement rights. Regrip may investigate and take action (including warnings, suspension, termination, cancellation of access, and blacklisting) for suspected fraud, misuse, circumvention, or harmful conduct.

14.2 Cooperation with authorities. Regrip may share information with law enforcement or regulators where required or appropriate for compliance, fraud prevention, or protecting Users and the Platform.

15. Privacy and data usage

15.1 Data collected. Regrip may collect business and transaction information (including contact details, GST, locations, and transaction history) to operate the Platform.

15.2 Data sharing. Regrip may share information with counterparties, logistics partners, payment partners (if any), auditors, regulators, and law enforcement as necessary for Platform operations and legal compliance.

15.3 Security. Regrip will use reasonable measures to protect information but does not guarantee absolute security.

16. Intellectual property

The Platform, including its software, trademarks, logos, design, and content (excluding User content), is owned by Regrip or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works except as permitted by law.

17. Termination

Regrip may suspend or terminate your access at any time, with or without notice, where permitted by law, including for suspected violations, fraud, risk, or compliance reasons. Sections that by their nature should survive will survive termination (including disclaimers, limitation of liability, indemnity, and governing law).

18. Changes to these Terms

Regrip may update these Terms from time to time. Updated Terms will be effective upon posting on the Platform. Your continued use after posting constitutes acceptance of the updated Terms.

19. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at New Delhi, India will have exclusive jurisdiction.

20. User acknowledgment

By clicking “Accept”, “Place Order”, “Proceed”, creating an account, or otherwise using the Platform, you acknowledge and agree that Regrip is a technology platform/intermediary and that:

• Regrip is not responsible for Product quality, pricing, transport, documentation, or disputes between Users;
• you waive and release claims against Regrip to the maximum extent permitted by law for matters arising from User-to-User transactions.
